Terms and Conditions

Please read these terms and conditions as well as our Privacy Policy as they contain important information about our Services which you should make yourself aware of. These terms and conditions are legally binding and replace all previous versions. 

We are Zoom EV (“us” or “we” or “Zoom EV”) and our details are as follows:

Definitions

“Customer” means a person who purchases access to our services directly for personal use or is provided with access through a Third-Party Partner utilising our platform technology. 

“Contract” means a legally binding agreement between you and us for the supply of our Services. 

“EV Ecosystem Technology” our proprietary platform technology providing EV / sustainable benefits, access to EV experts, prize draws and vehicle management capability and any other functionality added in the future. Our technology is deployed as a white-labelled solution that Third-Party Partners deploy for their customers and are able to customise. 

“Privacy Policy” means the terms which set out how we will deal with confidential and personal information received from you; This policy can be found on the website; 

“Services” means the services provided by us, including access to EV our EV Ecosystem Technology dashboards and including access to any services and vehicle management capabilities on those dashboards. Whereby you have been provided with access by a Third-Party, Services covers the access to the white-labelled and customised dashboard, benefits and functionalities provided within that solution. 

“Third Party Partners” means the businesses that deploy our EV Ecosystem Technology for their own customer bases.  

“Website” means our website www.zoom-ev.com on which the details of our Services can be found. 

Application

1.1.     These terms apply to the provision of Services by Zoom EV to you directly or through any of our Third-Party Partners. By using the Services directly or through a Third-Party Partner you agree to be bound by these terms and conditions. 

1.2.     These terms and conditions should be read alongside, and are in addition to, our Privacy Policy (including Cookies), which is found on our website. 

1.3.     We reserve the right to amend these terms and conditions at any time. If a revision meaningfully reduces your rights, we will notify you and clarify your options. By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised terms. We can also make changes to the Services if they are necessary to comply with any applicable law or safety requirement. We will notify you of these changes and will publish the amended version of the terms here on our website. Your continued use of our Services shall indicate your agreement to be bound by the amended i.e. latest terms. 

1.4.     Whereby you are provided access to a customised dashboard via a Third-Party Partner you are responsible for reading any specific terms and conditions that apply as set out by that Third Party Partner (where applicable). 

1.5.     If you believe that any communication made through or on the website infringes any legal rights that any you may have or is in breach of any of these terms and conditions or know of or suspect any unauthorised posting of or attempt to post any communications, you may notify us with specific details, by email, at membersupport@zoom-ev.com

1.6.     All Customers agree to comply with all reasonable requests from Zoom EV, the police, or any statutory or regulatory authorities in identifying any unauthorised users of the website or of Zoom EV’s Services. 

1.7.     The invalidity, unenforceability or illegality of any provision (or part of a provision) of this agreement shall not affect the validity, enforceability or legality of the other provisions. If any invalid, unenforceable or illegal provision would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties. 

Basis of sale

2.1.   You must ensure that all information you provide to us, including but not limited to, personal data, payment data or Business data is accurate and true. This applies to data provided to us at any stage of engagement with you. If at any stage, you realise that the information provided was inaccurate, you should contact us immediately by email or make the amends directly on your dashboard profile. 

Fees and Payment

3.1.   Any fees that are applicable in the use of our solution will be made clear to you at the point of purchase. 

3.2.   All payments are processed through Stripe (payment platform) in order to provide safe and secure payments and protect your details. 

3.4.   All Fees and Payments include VAT (where applicable) at the rate applicable at the time. 

3.5. Whereby you are provided with access to a Third-Party Partner platform that is included as part of their offering, you will not be required to provide payment details.  

Governing law, jurisdiction and complaints

4.1.   The Contract is governed by the law of England and Wales. Disputes can be submitted to the jurisdiction of the courts of England and Wales. 

4.2.   We try to avoid any dispute, so we deal with complaints as follows: If a dispute occurs you should contact us directly via our website or at membersupport@zoom-ev.com and we will work with you to resolve this dispute. 

Rights of Third Parties

5.1.   A person who is not a party to these terms and conditions has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any provision of these Terms and Conditions.

6.1.   By accessing, browsing or using both our direct website or by accessing your dashboard (whether direct or via a Third-Party Partner) you agree with these terms and any additional terms, conditions, notices and disclaimers located on our website. If you do not agree to these terms, do not access or use our website. If you are under 16 years of age you must first obtain your parent or guardians consent before accessing or using our website or platforms. 

6.2.   We are not responsible or liable for the content, goods or services offered or privacy practices of our partners whose benefits and services are offered within our EV Ecosystem Technology platforms. If you follow a link to another website or app, your browsing history and other personal information may be provided to the operator of that linked website or app. We will disclose your personal information in accordance with our Privacy Policy. Before using an external website or app, we recommend that you examine the terms of use of the external website or app, as they may differ from these terms and our Privacy Policy. 

6.3.   Our direct website or our EV Ecosystem Technology platform may provide links to other websites for information (including our partners). Zoom EV has not reviewed these third-party websites and has no control over such sites or resources. Zoom EV does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using such sites. 

6.4.   You are responsible for ensuring the security of your computer, mobile or other device (“device”) and the data network that you use to access our website. This includes taking all reasonable steps to ensure that your device remains secure and your login details (username and password) remain secure and private. 

6.5.   With respect to all communications you make to us regarding our websites and all content therein, including, but not limited to, feedback, complaints, questions, comments and suggestions, we shall be free to use, copy, modify, publish or otherwise utilise any ideas, concepts, know-how, content or techniques contained in your communications without notice or payment to you for any purpose whatsoever, including but not limited to the improvement, development, production and marketing of products and services. 

6.6.   You agree that you will not use any device, software or other instrumentality to interfere or attempt to interfere with the proper working of our website, and that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. In addition, you agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our web pages or materials without our prior written consent. Such consent is deemed given for standard search engine technology employed by internet search web sites to direct internet users to our website. 

6.7. Our liability regarding our website is as follows: 

  • 6.7.1 Our website and mobile apps are provided “as is”.  Whilst we try to ensure that the information on our website is current and accurate we cannot warrant that all of the information is current, accurate or complete or that our website will be fault or virus free; 

  • 6.7.2 We are not liable to you, or anyone else, for disruptions to the availability of our websites and mobile apps; 

  • 6.7.3 We are not liable for any interference with your device, computer, data or connection used to access our website or mobile apps; and 

  • 6.7.4 We are not liable to you, or anyone else, (including for negligence, breach of contract or tort) for any direct, indirect, special, exemplary, incidental, consequential or punitive loss or damage (including, without limitation, loss of savings, business opportunities, revenue and profit, and damage to goodwill) arising out of your use of our websites, even if we are informed of the possibility of such loss or damage. 

6.8.   Zoom EV does not exclude liability for: 

  • 6.8.1. any fraudulent act or omission; or 

  • 6.8.2. death or personal injury caused by negligence or breach of the Supplier's other legal obligations. Subject to this, we are not liable for 

  • 6.8.3. loss which was not reasonably foreseeable to both parties at the time when the Contract was made. 

Intellectual Property

7.1.   You must not use our websites or mobile apps in a way that infringes the intellectual property rights of any person. 

7.2.   Our name and logos are registered trademarks and may not be used without our prior written consent. 

7.3.   Our website is protected by copyright and other intellectual property rights owned by or licensed to us.  This includes all names, logos, text, data, information, graphics, music, sounds, videos, software, technology or processes (“Materials”) are our property and protected by copyright, trademark and other intellectual property laws under applicable law.   

7.4.   The website contains copyright material, trademarks, and other proprietary information, all of which is individually and collectively protected by copyrights laws and other intellectual property laws in the United Kingdom and internationally. Except as part of the intended use of the website, a website user must not copy, distribute, make available, publicly perform, display or create any work based on such content, or exploit such content in any way, in whole or in part. Except for content provided by customers, all of the content presented through the website is owned by Zoom EV. All rights are hereby expressly reserved. 

7.5.   By making available any content through the website or sharing with us directly, that customer grants Zoom EV a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise utilise such content on, through, or by means of the website, Zoom EV social media properties, and other channels. Zoom EV does not claim any ownership rights in any such content and nothing in this agreement will be deemed to restrict any rights that customers may have to use and exploit any such content. 


Benefits Ecosystem

Access to the Zoom EV Ecosystem (Direct Purchase)

8.1   When you purchase direct access to the Zoom EV platform (directly from our website) you do so for annual access. This will provide you with access to various EV benefits/ solutions and offers by a variety of partners, vehicle management capabilities and prize draws as well as any other functionality released in the future (unless otherwise detailed before purchase). Your 12 months access starts upon purchase. 

8.2 Payment is non-refundable, as once you have your code, you can access all services.  

8.3 Where you have submitted your bank details as part of the sign-up process we will automatically renew your access at the end of this period unless you cancel beforehand. You will receive an email reminder about the renewal 3 weeks ahead of time so that you can decide if you would rather cancel. 

8.4   You will have the option to cancel your access for the year ahead at any time up until the date that your access renews. You must cancel via the My Benefits section of your account. 

8.5   As soon as you renew your access, the cancellation will not come into effect until the next year. At the end of the 12-month period, if you choose not to renew, your access to the platform will be removed. You will not be charged a cancellation fee. 

8.6   We will provide you access to your dashboard along with the unique code(s) which enable you to start using the benefits / discounts straight after your purchase (maximum within 24 hours). You will also receive a confirmation email, please check your junk email if you have not received it. You can access your dashboard at any time once you have registered.  

8.7   On renewal, we will provide you with a new code(s) which you will likely need to re-apply on our partners’ websites / apps to continue receiving the benefit / discount offered by them.

Third Party Partner’s Ecosystems (powered by Zoom EV)

9.1 We provide our platform technology to a variety of businesses who help their customers transition to electric vehicles and get rewards in a white-labelled and customised environment.  

Access to Third Party Partners platforms is provided directly by the respective Third Party Partnere as part of their customer journey. You will see references to Zoom EV in certain parts of the journey e.g. powered by Zoom EV.  

It is important to note that Third Party Partners platforms are customisable meaning that they can add / replace various benefits and offer certain capabilities that may not exist on other dashboards. This is deemed their environment and platform with which to create offerings and benefits and capabilities for their customers. 

9.2 You have 12 months from the date that you are provided access to register and log-in; after 12 months if you still have not accessed your dashboard your data will be deleted from the system.
